By accessing or using the basestate.ai website (the "website") operated by BaseState, Inc. ("BaseState," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the website.

If you are using the website on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Description of services

BaseState operates the basestate.ai website and develops the BaseState field inspection evidence platform.

The website provides information about our products and allows you to contact us.

BaseState is currently in a pre-general availability (pre-GA) phase. Features, functionality, and availability are subject to change without notice. Access to the BaseState platform is governed by separate agreements with design partners and customers. These Terms apply only to the website.

Use of the website

You agree to use the website only for lawful purposes and in accordance with these terms. You agree not to:

• Use the website in any way that violates applicable law or regulation • Attempt to interfere with or disrupt the website or its infrastructure • Attempt to gain unauthorized access to any systems or networks • Probe, scan, or test the vulnerability of any system or network • Use automated tools to scrape, crawl, or extract data without prior written consent, except standard search engine indexing consistent with robots.txt • Use the website to develop or support a competing product or service • Transmit malicious code, viruses, or harmful content • Impersonate any person or entity or misrepresent your affiliation • Generate excessive traffic intended to degrade or disrupt service

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including reporting to law enforcement authorities.

Accounts and platform access

These Terms govern your use of the website only.

Access to the BaseState platform requires a separate agreement. If you are granted access to BaseState, your use is governed by that agreement and not these Terms.

To the maximum extent permitted by law, our total liability arising out of or related to your use of the website shall not exceed the greater of (a) $100 or (b) the total amounts paid by you to BaseState in the twelve months preceding the claim.

Governing law and jurisdiction

These Terms are governed by the laws of the State of North Dakota, without regard to conflict of laws principles.

Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Cass County, North Dakota, and you consent to personal jurisdiction and venue in those courts.

Severability

If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Termination

We reserve the right to suspend or terminate access to the website at any time, without notice, for any reason, including violation of these Terms.

Changes take effect upon posting unless otherwise stated. Continued use of the website constitutes acceptance of the revised Terms.
